The company also closed a $4 million non-brokered, convertible debenture financing, with Dundee Corporation being the sole subscriber to the offering. Dundee now holds approximately 33.7% of the outstanding common shares of Woulfe Mining on a partially diluted basis.

The company intends to use the net proceeds of the offering to commence the proposed $6 million work program on the Sangdong project in South Korea and to fund the company's working capital deficit and cover general expenses.

The Sangdong project includes the historic Sangdong Tungsten/Molybdenum Mine, one of the world's largest tungsten producers prior to its closure in 1992. It also includes the Muguk Gold Mine, Korea's largest historical gold producer, along with other lead/zinc and tungsten projects and grass roots uranium/vanadium exploration licenses.

The company's priority is the development of the Sangdong Tungsten/Moly mine, which contains one of the few long life, high-grade tungsten deposits located outside of China. Tungsten, originally used in the manufacture of steel items, has new growth applications in high tech electronics, LCD & LED panels, space industry, and medical instruments, and has been declared a strategic metal by China.
