Key Changes and Requirements

  • login.gov Authentication: EDGAR Next mandates the use of login.gov for user authentication. Everyone submitting a filing and managing CIK account details must have a login.gov account.

  • Account Administrators: Designated "account administrators" (registered via login.gov) will manage CIK records and user access. Only account administrators can add or modify authorized users for a given CIK and delegate filing rights to filing agents.

  • Filing Rights and User Tokens: Every EDGAR filing must be submitted by an individual (registered via login.gov) with assigned filing rights for the specific CIK. This can be an account administrator, or a user associated with a delegated filing agent. Each filing will require a unique "user token" generated through login.gov, identifying the individual submitting the filing.

  • CCC Remains: While authentication changes, the CCC (Central Index Key Confirmation Code) will still be required for filings. However, enrollment into EDGAR Next will result in a new CCC.

EDGAR Next Enrollment

  • Enrollment opens March 24, 2025.

  • From March 24 to September 15, 2025, filers can use either legacy EDGAR or EDGAR Next.

  • Newsfile offers two enrollment options:

    • Newsfile Leads: Newsfile will handle your enrollment, assigning five Newsfile account administrators and adding your designated administrators. Single-Member Companies and Section 16 filers require one company account administrator, while all other filers require two. Newsfile will also take the lead processing annual account confirmations. This option minimizes client involvement for an annual fee of $250.

    • Client Leads: You or another agent representing you will enroll your company and grant filing rights to Newsfile's CIK (0001062993) via login.gov, requiring a more hands-on approach. The client will take the lead processing annual account confirmations.

  • A current passphrase is required for enrollment. If it is not on file a new one must be created. Newsfile is available to regenerate the passphrase for $150.

  • Only one enrollment per CIK is permitted.

  • The enrollment process will generate a new CCC, which must be distributed to all relevant parties.

Important Considerations

  • Annual Account Confirmation: All EDGAR Next CIK accounts must undergo an annual confirmation by a company designated account administrator. If timely confirmation is not made, after a three-month grace period, the filer's account will be deactivated and the filer will be required to reapply for access to EDGAR on Form ID. Newsfile will only take the lead with annual account confirmations if client selects the "Newsfile Leads" enrollment option. A $750 fee will be charged to reapply for EDGAR access should the filer's account be deactivated.

  • User Token Expiration: User tokens expire every 30 days, necessitating the generation of new tokens for continued filing for those individuals submitting filings using third-party software on the CIK’s behalf.

  • Enrollment Form: To begin the enrollment process, complete and submit Newsfile's EDGAR Next enrollment form to office@newsfilecorp.com.
