CannaOne Signs Definitive Agreement to Acquire 51% of Payright

Vancouver, British Columbia--(Newsfile Corp. - March 31, 2021) -  CannaOne Technologies Inc. (CSE: CNNA) (OTC Pink: CNONF) (FSE: 3CT) ("CannaOne" or the "Company") is pleased to announce that it has signed a definitive share purchase agreement (the "Agreement") in connection with its previously disclosed (see March 4, 2021 news release) acquisition (the "Acquisition") of a 51% equity interest of Singapore-based Payright Pte Ltd. ("Payright").

Payright provides the Company with another key country in its strategy to create a pan-regional payment and financial network. Singapore is a major financial hub of the region and is recognized as one of the most advanced Fintech markets in Asia and a leader in global fintech investment. Connecting the Philippines and Singapore will provide the Company with a unique and compelling financial payment corridor.

On closing, which is scheduled for April 9, 2021, the Company will issue an aggregate of 1,530,000 common shares (the "Consideration Shares") in exchange for 6,480 common shares of Payright, representing a 51% equity interest in Payright. The Consideration Shares are subject to voluntary pooling restrictions on resale in the following aggregate amounts until the following dates: (a) 50% of the Consideration Shares shall be subject to restrictions on resale until the date which is four months plus one day from closing; (b) an additional 15% of the Consideration Shares shall be subject to restrictions on resale until the date which is ninety (90) days from closing; (c) an additional 15% of the Consideration Shares shall be subject to restrictions on resale until the date which is one-hundred eighty (180) days from closing; (d) an additional 10% of the Consideration Shares shall be subject to restrictions on resale until the date which is two-hundred forty (240) days from closing; and (e) the remaining 10% of the Consideration Shares shall be subject to restriction on resale until the date which is twelve (12) months from closing. 100% of the Consideration Shares will also be subject to a statutory hold period of four months and one day.

The Acquisition will not constitute a fundamental change for the Company and will not result in a change of control of the Company (within the meaning of applicable securities laws and the policies of the Canadian Securities Exchange).

Mr. Aldaba is director of the Company and a minority shareholder of Payright, and as such the Acquisition is deemed to a related party transaction under the policies of Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI-61-101"). The Company is relying on exemptions from the minority shareholder approval and formal valuation requirements applicable to the related party transactions under sections 5.5(a) and 5.7(1)(a), respectively, of MI 61-101, as the fair market value of the 183,694 Consideration Shares to be received by Mr. Aldaba on closing will not exceed 25 percent of the Company's market capitalization. The Company did not file a material change report 21 days prior to signing the Agreement as the details have just been finalized. The Acquisition has been approved by the board of directors of the Company, with Mr. Aldaba having disclosed his interest in the Acquisition and abstaining from voting on the Acquisition. The Company has not received, nor has it requested a valuation of its securities or the subject matter of the Insider Participation in the 24 months prior to the date hereof.

The Company further announces that it has entered into a 12-month marketing and consulting agreement with North Equities Corp., ("North Equities") of Toronto, Ontario. North Equities will facilitate greater investor engagement and widespread dissemination of Company news as well as increase the Company's current social media presence, with a goal of increasing shareholder value. Pursuant to the agreement, North Equities will be paid an aggregate of CAD$250,000 plus GST.

These partnerships will enable PayRight to offer services and solutions for payment processing and card issuing able to accommodate and fulfill the needs of merchants, financial institutions, and other industry B2B or Fintech partners in its market.
