Why? On March 31, 2026, the United States District Court for the Southern District of New York denied in part defendants' motion to dismiss an underlying securities fraud class action complaint against Teladoc Health, Inc. (NYSE: TDOC) and certain of its officers - and allowed certain securities fraud claims to proceed.

According to that complaint, Defendants made materially false and misleading statements and omissions to investors regarding BetterHelp's customer acquisition costs and planned seasonal performance. Unbeknownst to investors, however, BetterHelp's customer acquisition costs in the social media channel had materially increased because BetterHelp had saturated that channel. Thus, BetterHelp's ad spend in the social media channel had become significantly more expensive, thereby materially reducing profits.

In allowing the underlying securities fraud class action to move forward, the Court determined that certain allegations presented by the suing investors also made it plausible the company knew about data the platform's customer acquisition costs were rising as early as July 2023, including statements from Murthy that leadership was monitoring BetterHelp's ad spend "hourly and daily." "Plaintiffs have adequately alleged defendants' comments and other circumstances plausibly plead an inference of scienter [knowing falsity or reckless disregard for the truth] for the actionable statements 'at least as compelling as any opposing inference one could draw from the facts alleged…."
