The Securities and Exchange Commission ("SEC") recently charged Thomas Powell, Stefan Toth, along with, Resolute Capital Partners LLC and Homebound Resources LLC, with making material misrepresentations and omissions in connection with the unregistered securities offerings in oil and gas programs. The SEC also charged both Powell and Toth with acting as unregistered brokers.

According to the SEC, the aforementioned individuals and entities made material misstatements and omitted material facts in both debt and equity offerings; involving projections of future oil production, overstating cash reserves, and made incomplete disclosures regarding potential uses of investor funds, including the amount of funds that would be used for payments to prior debt and equity investors.

Lastly, both Resolute Capital Partners and Homebound Resources each agreed to pay a civil penalty of $225,000, and Powell and Toth each agreed to pay a civil penalty of $75,000.00.

Fortunately, those investors that incurred losses investing in these oil and gas programs, may be able to recover those losses through the FINRA arbitration process, if purchased through a broker-dealer. Otherwise, mediation and civil proceedings are potential options for other investors
