Vancouver, British Columbia--(Newsfile Corp. - March 20, 2014) - New Moon Minerals Corp. ("New Moon", or the "Company") announces it has made an application to securities regulators to cease to be a reporting issuer in the provinces of British Columbia, Alberta, Saskatchewan, Manitoba and Ontario (collectively, the "Reporting Jurisdictions").
New Moon is a mineral exploration company, the securities of which do not trade on any stock exchange. The Company became a reporting issuer in the Reporting Jurisdictions upon filing a prospectus in connection with a planned initial public offering in 2011 that did not proceed. New Moon has not issued any securities pursuant to a prospectus, and currently has no plans to do so. The Company has made the application to cease to be a reporting issuer in the Reporting Jurisdictions to seek relief from certain reporting obligations that have created financial hardship.
If the regulators in the Reporting Jurisdictions grant a decision in favour of New Moon's application, the Company will cease to be a reporting issuer in any jurisdiction in Canada and the outstanding securities of New Moon will be subject to restrictions on resale under applicable securities laws, which include that a first trade of such securities will be a distribution unless New Moon is a reporting issuer in a jurisdiction in Canada at the time of the trade.
