The transaction formalizes a partnership that began in 2018, with Inspirit and Venue collaborating on acquisitions, operations, capital formation, financing, and asset management across a growing senior living portfolio. Together, the organizations have developed complementary capabilities, a shared culture, and a common philosophy centered on operational excellence, disciplined investing, entrepreneurial thinking, and long-term partnership. Today, the platform encompasses approximately 39 seniors housing communities across 11 states, with a pipeline of additional acquisitions, management opportunities, and strategic partnerships in various stages.

Following the transaction, Inspirit's founder, David McHarg, will continue to serve as Chief Executive Officer, leading the company's strategic vision and direction as it enters its next phase of growth. Michael Goldberg, Founder of Venue Capital, will join Inspirit as Chief Investment Officer and will lead Inspirit Capital, the company's investment, asset management, and capital markets division. McHarg and Goldberg, together with Inspirit's President Torey Riso, will serve on the company's Board of Managers and help guide the strategic direction and continued growth of the combined platform.

Goldberg founded Venue Capital in 2018 and now has over two decades in institutional real estate investment, capital markets, and seniors housing, including key roles at Care Investment Trust, Credit Suisse, and CIT Group. Since its formation, Venue has partnered with operators, institutional investors, lenders, family offices, and other strategic partners to source, structure, capitalize, finance, and asset manage seniors housing investments throughout the United States. The combination builds upon nearly two decades of trusted collaboration between Goldberg and McHarg and formalizes the Venue and Inspirit partnership.

Inspirit Capital will serve as the firm's investment, asset management, and capital markets division, supporting the company's acquisition, financing, portfolio management, and strategic growth initiatives.
