According to the complaint, throughout the Class Period, Defendants failed to disclose that the Company allegedly continued engaging in undisclosed-related-party transactions with entities owned or controlled by its co-founders, resulting in materially misleading financial statements and exposing investors to undisclosed governance and financial reporting risks.
The alleged risks began to materialize on June 24, 2026, when Umibozu Research released a report alleging that EquipmentShare used its OWN program to direct substantial fees and other payments to founder-affiliated entities through a network of undisclosed related parties.
Following the report, the Company's stock price declined 6.6%. The alleged misconduct further came into focus on June 25, 2026, as EquipmentShare's stock fell an additional 11.7% amid continued investor reaction to the allegations. By the commencement of the action, the stock had fallen more than 34.5% below its IPO price.
