The Complaint alleges that defendants misled investors about the accuracy and reliability of the Company's AI model, Model 22. Specifically, the suit accuses defendants of failing to disclose that Model 22 frequently overreacted to negative macroeconomic signals, overstated loan approval accuracy, and negatively impacted revenue, all of which made prior FY 2025 guidance unreliable.
On November 4, 2025, Upstart reported Q3 2025 revenue of $277 million, below guidance and consensus expectations, and revised FY 2025 revenue downward to approximately $1.035 billion. Following these disclosures, Upstart's stock price declined $4.49 per share, or 9.71%, to close at $41.75 per share on November 5, 2025.
