James Bay Resources Limited Announces Closing of $300,000 Offering

Toronto, Ontario--(Newsfile Corp. - July 27, 2021) - James Bay Resources Limited (CSE: JBR) ("James Bay" or the "Company") announced that it has closed a non-brokered private placement (the "Offering") of 3,000,000 units ("Units") at a price of $0.10 per Unit, for aggregate gross proceeds of $300,000. Each Unit is comprised of one common share (a "Common Share") and one Common Share purchase warrant (each a "Warrant") in the capital of James Bay. Each Warrant is exercisable for a Common Share at a price of $0.15 for 2 years from the date of issuance.

The net proceeds from the Offering will be used to fund working capital.

The Common Shares and Warrants issued as Units pursuant to the Offering will be subject to a four month regulatory hold period commencing from the date of closing.

The securities offered have not been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an exemption from the registration requirements. Corporate Update

James Bay also announced that it has received the resignation from Mark Brennan as a director of the Company.
