December 33 Closes Oversubscribed Private Placement Financing Totaling $655,000

Vancouver, British Columbia--(Newsfile Corp. - July 8, 2021) - December 33 Capital Inc. (the "Company") is pleased to announce that the Company has closed its non-brokered private placement (the "Private Placement") previously announced on April 29, 2021.

Under the second tranche (the "Second Tranche"), the Company has issued an aggregate of 7,400,000 common shares (each, a "Share") in the capital of the Company at a price of $0.05 per Share for gross proceeds of CAD$370,000.

The Private Placement was oversubscribed with the issuance of a total of 13,100,000 Shares for gross total proceeds of CAD$655,000.

The proceeds of the Second Tranche are expected to be used for general working capital purposes. All Shares issued in connection with the Second Tranche are subject to a hold period of four months and one day from closing. No finder's fees were paid in connection with either the First and Second Tranche.
