The complaint alleges that throughout the Class Period, Defendants overstated the resiliency and stability of Qfin's business and financial results despite regulatory changes and downplayed the true scope and severity of the negative impact that regulatory headwinds were likely to have on Qfin's business.

On August 25, 2026, the truth allegedly began to emerge when Qfin reported its second quarter financial results, including that total net revenue fell 31.6% year-over-year and that net income plummeted 76.8% year-over-year impacted by an RMB 500 million tax expense. On this news Qfin's American Depositary Shares ("ADSs") fell $2.18 per ADS, or nearly 19%, to close at $9.35 per ADS on August 26, 2026.
