Northern Gold Receives Shareholder Approval for Business Combination with Oban Mining

Toronto, Ontario--(Newsfile Corp. - December 18, 2015) - Northern Gold Mining Inc. (TSXV: NGM) ("Northern Gold") is pleased to announce that, at the annual and special meeting of shareholders held earlier today, the shareholders of Northern Gold (the "Northern Gold Shareholders") overwhelmingly voted in favour of the special resolution to approve the arrangement with Oban Mining Corporation ("Oban"), pursuant to which Oban will acquire all of the common shares of Northern Gold by way of a court approved plan of arrangement (the "Arrangement") under the Business Corporations Act (Ontario). The Arrangement was approved by 95.45% of votes cast by the Northern Gold Shareholders.

Completion of the Arrangement is subject to, among other things, receiving the requisite court and stock exchange approvals, and the satisfaction of other customary conditions for a transaction of this nature. Closing of the Arrangement is expected to occur on or about December 22, 2015.
