Terms of the acquisition call for the payment of 10 million units of Marapharm Ventures, at a price of $0.50 per unit for a deemed value of $5 million. Each unit consisted of 1 share and 1 full warrant, with the warrant exercisable at $0.75 for a one year period.

The acquisition includes Marapharm Inc's application with Health Canada for a license to grow marijuana under the Marijuana for Medical Purposes Regulations, all leases including the lease of 11 acres in Kelowna, British Columbia, Marapharm Inc's trademarks, and all proprietary contracts.

The company will construct its new facility on the Kelowna property, with plans to expand to a 100,000 square foot facility in year two. Further construction is built into the company's long term growth strategy once a realistic assessment and export demand can be determined.

The application is working its way through the system, as in January, Health Canada requested additional detailed information on some of the record keeping procedures, quality assurance personnel, sanitation standards, as well as technical details of the security monitoring equipment.

The shares are trading in the $0.50 range, and with 35.3 million shares outstanding, the company is capitalized at approximately $18 million.
