District Copper Announces a Non-Brokered Private Placement

Vancouver, British Columbia--(Newsfile Corp. - November 3, 2021) - District Copper Corp. (TSXV: DCOP) (OTC Pink: CAXPF) ("District Copper" or the "Company") is pleased to announce that it has agreed to make a non-brokered private placement of up to 4,300,000 units of District Copper at a price of $0.10 per unit. Each unit consists of one share and one share purchase warrant which allows the holder to purchase one additional share of the Company's capital stock at a price of $0.15 per share for each warrant held with the warrants expiring two (2) years from the date of the closing of the private placement.

A finder's fee of 7% of the proceeds raised may be paid in cash or finder's warrants.

The proceeds of the private placement will be used by the Company for general corporate purposes.

The private placement is subject to TSX Venture Exchange approval.
