Nevada Vanadium Mining Corp. Closes Private Placement and Provides Transaction Update

Vancouver, British Columbia--(Newsfile Corp. - February 1, 2024) - Nevada Vanadium Mining Corp. ("Nevada Vanadium" or the "Company") announces that it has closed (the "Closing") a non-brokered private placement raising gross proceeds of $82,000 through the issuance of 1,025,000 units (the "Units") at a price of $0.08 per Unit. Each Unit consists of one common share of the Company and one-half of one share purchase warrant with each whole warrant (the "Warrant") entitling the holder to purchase one additional common share of the Company at a price of $0.10 per share until January 31, 2027 (the "Private Placement").

John Lee, Executive Chairman of the Company, subscribed for 875,000 Units for gross proceeds of $70,000. The issuance of Units to John Lee is considered a related party transaction within the meaning of Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The Company relies on exemptions from the formal valuation and minority shareholder approval requirements provided under sections 5.5(a) and 5.7(a) of MI 61-101 on the basis that participation in the Private Placement by Mr. Lee does not exceed 25% of the fair market value of the Company's market capitalization. The Company will file a material change report in respect of the related party transaction in connection with the closing of the Private Placement.

Proceeds of the Private Placement are expected to be used for project advancement, working capital and general corporate purposes.

The securities issued pursuant to the Private Placement will be subject to a regulatory hold period ending June 1, 2024.
