Onboarding begins January 3, 2023

Onboarding

There are a series of steps that all organizations must complete to make the transition from SEDAR to SEDAR+ (referred to as "SEDAR+ Onboarding").

SEDAR+ onboarding will take place from January 3 to April 14, 2023. Completing the process by April 14, 2023 will provide two major benefits:

  1. Being able to file on June 13, 2023 (Day 1)
  2. Saving time and effort; as during the onboarding window there will be an expedited process for submitting the required information that will not be available after April 14th, 2023.

Newsfile strongly encourages every client to avoid the naughty list and complete their SEDAR+ Onboarding by April 14th. We are here to provide support throughout the process.

Onboarding Requirements

As your filing agent, Newsfile will assist you with the required steps to register your company with SEDAR+. There are three documents each company will need to complete and provide to Newsfile to get set up:

  1. Electronic Filer Agreement (EFA)
    • For ALL organizations that file on SEDAR+
    • Must be completed by every organization to set up issuer profiles and to submit filings
  2. Filing Agent Authorization Form (FAAF)
    • For issuers and investment funds that use filing agents
    • Grants filing agents permission to complete filings on SEDAR+ on the issuer’s behalf
  3. Supplementary Information
    • Organizations must provide new account and issuer profile supplementary information
    • Contains new required fields for SEDAR+
    • Some information that was previously optional in legacy SEDAR, will now be required in SEDAR+
SEDAR+ launches June 13, 2023

Authorization

All companies will be required to give filers authorization to file corporate documents on their behalf. No authorizations will be grandfathered over to the new SEDAR+ platform.

As a high volume filer and SEDAR+ pilot project member, Newsfile will receive a head start on having clients grant authorization. This is so that when the launch date comes in June, high volume filers and their clients will not be left scrambling with hundreds or even thousands of authorization requests to submit.

To complete authorizations, companies will be required to grant authorization to their chosen filers.

By naming Newsfile as your primary filing agent and providing us with an FAAF, we can submit your EFA and Supplementary Information on your behalf to have your company set up by the CSA with SEDAR+. This is the easiest method to complete your SEDAR+ Onboarding and will also grant Newsfile authorization to file on behalf of your company.

Points of Clarification

Designating a Secondary Filing Agent

Naming Newsfile as your primary filer will not prevent you from authorizing other agents, such as law firms, from submitting filings on your behalf.

You simply need to complete, sign and send a FAAF to your chosen secondary filer for authorization. However, only 1 EFA may be submitted per entity.

Choosing to Submit Your Own EFA

You may decide to submit your own EFA and Supplementary Information Form, or have another agent do so.

However, if you would still like to authorize Newsfile to submit filings through SEDAR+ on your behalf, you only need to complete the FAAF.

In this case, you may adjust the permissions check boxes on the FAAF to include only the filing types and/or services you want Newsfile to handle.
