(OTC: FLHLF) ("Filament") are pleased to announce that, further to their joint press release dated March 10, 2026, March 23, 2026 and April 27, 2026, that the Supreme Court of British Columbia has issued a final order (the "Final Order") approving the previously announced acquisition by Red Light of all the issued and outstanding common shares of Filament, pursuant to a statutory plan of arrangement (the "Arrangement") under the Business Corporations Act (British Columbia).

Completion of the Arrangement remains subject to customary conditions and certain regulatory approvals. It is anticipated that the Arrangement will be completed on or about April 29, 2026 in accordance with the terms of the arrangement agreement dated March 10, 2026 between Red Light and Filament.
