Liuyang Fireworks Limited Announces Completion of Privatization

Toronto, Ontario--(Newsfile Corp. - September 29, 2015) - Liuyang Fireworks Limited (TSXV: FWK) (the "Company") announces that its going private transaction by way of share consolidation and share purchase was completed on September 29, 2015. The Company has paid the cash consideration of CAN$0.048 per common share (pre-consolidated basis) to Valiant Trust Company, as agent, for the registered shareholders. The purchased common shares are deemed to be repurchased and cancelled, and the rights of the former holders thereof shall be limited to receiving without interest their proportionate part of the total purchase price against presentation and surrender of their share certificates together with a duly completed letter of transmittal. From and after September 29, 2015, the holders of the certificates representing the common shares will not be entitled to exercise any rights in respect of such common shares except to receive the purchase price.

Registered shareholders will need to present and surrender their share certificates representing the common shares together with a duly completed letter of transmittal at any of the offices of Valiant Trust Company set out on the reverse side of the letter of transmittal, a copy of which was included with the notice and information circular for the special meeting of shareholders of the Company held on September 18, 2015 and is available on SEDAR at www.sedar.com.

Beneficial shareholders (i.e., shareholders holding through brokers, investment dealers, banks, trust companies or other nominees) who held common shares should contact their broker, or such other intermediary who held common shares on their behalf, to confirm or arrange for the delivery of the consideration to which they are entitled.

The common shares of the Company will be delisted from the TSX Venture Exchange and the Company will be notifying or applying to the applicable Canadian securities regulatory authorities to cease to be a reporting issuer in each province in which the Company is a reporting issuer.
