EDGAR Form ID Application Process

This guide outlines the steps for applying for SEC EDGAR access. As your filing agent, we will handle the technical submission, but we require specific information and notarized documentation from you to complete the process.

Initiating the Application

We will begin by creating your application on the EDGAR Filer Management website. Depending on your status, we will select one of two paths:

  • New EDGAR Account: For applicants who do not have an existing Central Index Key (CIK).
  • Existing EDGAR Account: For applicants who already have a CIK but need to regain access or update account administrators.

To avoid duplicate registrations, first search for the company or insider on the EDGAR system. If a record exists, verify the status of the account, rather than proceeding with a new registration. If verification confirms that no one can access the existing account, use the existing Central Index Key (CIK) to continue with the application process.

Designating Account Administrators

To ensure we can manage your filings effectively, the following roles must be assigned in the application:

  • Primary Point of Contact (POC): A member of our filing team will be designated as the primary Account Administrator. This ensures our team receives all official SEC notifications regarding your application.
  • Client Account Administrator: You must provide details for a representative from your organization to serve as a secondary Account Administrator.
    • Note: If this representative is not an employee of the applicant, additional documentation (Power of Attorney) will be required.

Signature and Notarization Requirements

The SEC requires specific signing authorities and notarization for the Form ID:

  • Authorized Signatory: If the applicant is a company, the form must be signed by an authorized employee, such as the CEO, CFO, Partner, Corporate Secretary, Officer, Director, or Treasurer.
  • Power of Attorney (POA): If the form is being signed by someone other than an authorized employee (e.g., a filing agent), a Power of Attorney must be executed.
  • The POA must:
    • List the names of all prospective account administrators exactly as they appear in the application.
    • Include our designated filing team members as authorized administrators.

Submission and Approval

  1. Review and Sign: We will provide you with a PDF of the completed Form ID and a comprehensive POA. You must have these documents signed and notarized.
  2. Upload: Upon receiving the notarized documents, we will promptly attach them to the online application and submit them to the SEC. Please ensure that no alterations are made to the document we originally provided.
  3. Notification: We will notify you once the application has been submitted and monitor for the SEC's approval notification. Approval typically requires about 7 days or potentially longer.

Post-Approval Setup

Once approved, we will perform the following final steps to enable filing:

  • Delegation: We will link our filing agent CIK to your account to allow us to file on your behalf.
  • User Management: We will add the remaining members of our filing team and your designated representative as account administrators to ensure redundant access to the EDGAR system.
  • Final Confirmation: You will receive a final confirmation email once the account is fully set up and ready for filing.
