(OTCID: TERS) ("Tersis" or the "Company"), a clean technology company focused on transforming waste streams into valuable resources, today announced that it has entered into a Memorandum of Understanding ("MOU") with Flux Core Data Systems and Energy Inc. ("Flux Core"), a developer and operator of decentralized data centers, to identify, develop, and pursue integrated energy-plus-compute opportunities in the United States and select international markets.

The MOU is intended to address one of the central constraints facing the artificial intelligence buildout: power. Global electricity consumption from data centers is projected to roughly double to approximately 945 TWh by 2030, with AI as the primary driver, while interconnection queues and transmission constraints continue to delay conventional grid-connected projects by several years. The companies believe decentralized data centers paired with purpose-built, behind-the-meter generation offer a faster and more sustainable path to new AI compute capacity than waiting for large-scale grid upgrades.

Structure of the Relationship

Under the non-exclusive MOU, Flux Core will serve as a preferred deployment partner for decentralized data-center and compute infrastructure at qualifying Tersis project sites, while Tersis will serve as a preferred on-site energy partner for qualifying Flux Core deployments. The companies intend to evaluate opportunities to combine power produced by appropriately configured SynGenic V3 systems with decentralized data centers and GPU compute infrastructure deployed behind the meter, so that generation, cooling, and compute are engineered together rather than retrofitted to one another.

The framework contemplates cooperation on site identification and screening, permitting and interconnection strategy, project development, community engagement, responses to solicitations and grant opportunities, and joint go-to-market activities. The parties intend to coordinate on a regular cadence to review a shared pipeline of candidate sites and to advance selected opportunities into project-level agreements. Potential markets include municipal, industrial, institutional, defense, rural, and edge-computing applications, as well as enterprise and AI-model customers seeking capacity outside constrained metropolitan data-center corridors.

Decentralized Compute, Sustainable Power

Flux Core's decentralized data centers are designed to arrive pre-configured, reduce construction risk, scale incrementally in step with customer demand, support off-grid and renewable integration, and enable relocation when required. Rather than concentrating capacity in a small number of large campuses dependent on long-lead transmission, the decentralized model distributes high-density compute across multiple sites and sizes each deployment to the power available on site. By combining manufacturing expertise with renewable-energy and hybrid-power integration, Flux Core is positioned at the intersection of sustainable infrastructure and high-performance computing.

Tersis' SynGenic V3 platform is designed to convert suitable waste feedstocks into clean energy and recovered products, creating the potential for compute capacity supported by diverted waste streams and reduced environmental impact. Where technically and commercially viable, the companies intend to evaluate configurations in which on-site resource recovery supplies a meaningful portion of a site's electrical and thermal load, with the objective of improving both the carbon profile and the cost predictability of the resulting AI compute.

Next Steps

Selected opportunities are expected to advance through technical and commercial diligence before being documented in project-specific definitive agreements.

The MOU establishes a cooperation framework and does not obligate either company to proceed with any specific deployment, capital contribution, offtake arrangement, or commercial transaction, and does not create a joint venture, partnership, or exclusive relationship between the parties. Each joint opportunity will remain subject to technical and commercial diligence, permitting, final engineering, financing, and the negotiation and execution of a separate definitive project agreement.
