Toronto, Ontario--(Newsfile Corp. - September 1, 2026) - PTX Metals Inc. (TSXV: PTX) (OTCQB: PANXF) (FSE: 9PX) ("PTX" or the "Company") is pleased to announce the closing of the previously announced transaction involving Green Canada Corporation and MAACKK Capital Corp., resulting in the creation of Green Canada Uranium Corp. ("GCUC"). GCUC is expected to commence trading on the TSX Venture Exchange under the symbol "GCUC" at market open on or around September 9, 2026.

GCUC has also completed the acquisition of a 100 per cent interest in the Marshall uranium project in Saskatchewan's Athabasca Basin. PTX is encouraged by the exploration potential at Marshall, where drilling is expected to commence in September. Further details of the transaction can be found in the GCUC press release issued today.

The transaction advances PTX's strategy of creating value from non-core assets while reducing associated costs and allowing the Company to sharpen its focus on its core Ontario portfolio, including the W2 Copper-Nickel-PGE Project and South Timmins gold assets.

"We are pleased to see Green Canada Uranium reach this important milestone," said Greg Ferron, President and CEO of PTX Metals. "As a separately listed uranium company, PTX is retaining significant exposure to its future success for our shareholders. At the same time, the transaction reduces costs at PTX and allows our team to remain focused on advancing our core Ontario assets."

PTX will also evaluate tax-efficient opportunities of its GCUC shareholding, subject to seeking applicable regulatory, tax and other considerations. Investors seeking updates regarding Green Canada Uranium, its projects and exploration activities should refer directly to Green Canada Uranium's public disclosures and communications.
