Energy Kft., has entered into a definitive real estate sale and purchase agreement for the purchase of approximately 10,872 square meters of industrial land and photovoltaic infrastructure adjacent to the Company's operating solar facility in Kaposszekcső, Hungary.

The purchase marks the next stage in BrenX's development of the Kaposszekcső site from a standalone renewable energy asset into what the Company believes has the potential to become its first integrated industrial energy resource center. With an operating 1.2 MWp solar facility already serving as the site's energy foundation, the additional property expands the physical footprint available to BrenX to evaluate additional renewable generation, battery energy storage systems ("BESS"), the Company's proprietary bGen™ TES technology, industrial energy services and, where appropriate, potential modular data center infrastructure. The transaction advances BrenX's broader strategy to develop, own, operate and optimize energy infrastructure, with the objective of combining multiple technologies and energy assets around customer requirements and creating opportunities for longer-term customer relationships and recurring revenue.

Under the definitive real estate sale and purchase agreement with Green Solartech Kft., A.R.D. Energy Kft. has agreed to purchase the adjacent industrial property together with 192 rammed pile foundations for solar module mounting structures, approximately 417 linear meters of industrial fencing and engineering documentation relating to the photovoltaic layout, grid connection and associated electrical infrastructure for an aggregate purchase price of HUF 58.3 million (approximately US$190,000), plus VAT if applicable. The agreement follows the commercial term sheet announced by the Company in July 2026 and completes the contractual acquisition contemplated by that earlier agreement, subject to completion of the applicable land-registry registration process.
With possession of a larger site surrounding its operating solar asset, BrenX will have greater flexibility to assess how additional energy technologies and infrastructure could be deployed at Kaposszekcső as commercial opportunities develop. These could include additional photovoltaic capacity, BESS to store and optimize electricity, bGen™ TES to convert electricity and recovered heat into dispatchable thermal energy for industrial applications and, where economically and technically appropriate, to consider modular data center infrastructure. The Company believes bringing complementary technologies together at a common site could increase asset utilization, broaden the services available to customers and create multiple potential sources of recurring revenue from the same underlying energy platform.
The Kaposszekcső project is the first site-level proof point of the strategy behind the Company's recent transition from Brenmiller Energy to BrenX. Building on its thermal energy storage expertise, BrenX intends to bring together power generation, electricity and thermal storage, grid connectivity and intelligent energy management into integrated platforms serving industrial customers and data centers. By developing, owning and operating energy assets and expanding those assets as commercially attractive opportunities emerge, the Company is seeking to build a scalable infrastructure model that can generate longer-term recurring revenue and potentially be replicated in additional markets.
Any future expansion of the Kaposszekcső site, including additional renewable generation, BESS, TES, industrial energy services or data center infrastructure, remains subject to feasibility studies, customer demand, commercial validation, financing, permitting and other customary approvals. The acquisition does not commit BrenX to any specific future expansion project, and the Company intends to evaluate potential investments based on expected project economics, customer requirements and capital allocation priorities.
