(CSE: TWEL) (OTCQB: TWELF) (FSE: Y920) ("Tokenwell" or the "Company") wishes to clarify that, effective April 8, 2026, it granted an aggregate of 350,000 restricted share units ("RSUs") to certain officers and consultants pursuant to the Company's omnibus equity incentive plan (the "Plan"). The RSU grant was approved by the Company's board of directors on April 8, 2026. This news release is being issued to provide disclosure regarding the RSU grant. The RSUs vested immediately upon the date of grant. Each RSU entitles the holder to receive one common share of the Company in accordance with the terms of the Plan and applicable policies of the Canadian Securities Exchange.
All securities issued in connection with the RSU grants are subject to a statutory hold period of four months and one day in accordance with applicable Canadian securities laws.
