TransCanna Issues Shares for Debt

Vancouver, British Columbia--(Newsfile Corp. - December 7, 2022) - TransCanna Holdings Inc. (CSE: TCAN) (FSE: TH8) ("TransCanna" or the "Company") announces that holders of an aggregate of $263,183.10CAD of debt, have agreed to settle such debt. The holder of $203,183.10CAD has agreed to settle such debt through the issuance of 4,063,662 common shares of the Company at a price of $0.05 per share, and the holder of $60,000CAD has agreed to settle such debt through the issuance of 3,000,000 common shares of the Company at a price of $0.02 per share (the "Debt Settlements").

There are no insiders connected with the Debt Settlements. The CSE has waived the 4-month hold on the Debt Settlements.
