The company, which formerly traded as Weststar Resources, is acquiring a 100% interest in North Road Ventures' pending Access to Cannabis for Medical Purposes ("ACMPR") application, formerly the Marihuana for Medical Purposes Regulations ("MMPR") application, through the issuance of 12 million shares.

The company recently closed a non-brokered private placement financing for gross proceeds of approximately $370,000, through the issuance of approximately 5.3 million units at a price of $0.07 per unit. Each unit consisted of one common share and one transferable warrant, with each warrant exercisable at $0.10 for a two-year period, subject to an acceleration clause should the shares trade at $0.20 or higher for 10 consecutive days. Proceeds from the offering are expected to be used for general working capital purposes and to seek out additional potential ventures.
The shares are trading at $0.15, and with 68.6 million shares outstanding, the company is capitalized at $10.3 million.
