Gemoscan Canada, Inc. Announces Issuance of Shares for Debt
Toronto, Ontario--(Newsfile Corp. - December 10, 2013) - Gemoscan Canada, Inc. (TSXV: GES) (MUN: 1GE) ("Gemoscan" or the "Corporation") wishes to announce that it has entered into two shares-for-debt arrangements totaling Cdn.$8,260.00, with arm's-length parties, relating to outstanding trade payables. The Corporation proposes to settle the debt through the issuance of 91,778 Class A Shares (the "Shares") of the Corporation at a deemed price of $0.09, subject to the approval of the TSX Venture Exchange. The Shares issued will be subject to a 4-month-plus-1-day hold period from the date of issuance.
This shares for debt settlements, and subsequent issuance of the Shares, will not create a new Control Person.
