What is SEDAR+?

As of July 25, 2023, SEDAR has transitioned to an all-new platform called SEDAR+. Newsfile is proud to have been selected by the CSA as one of a small group of high-volume SEDAR users to participate in the SEDAR+ Pilot Program.

SEDAR+ is the System for Electronic Document Analysis and Retrieval, the electronic filing system for the disclosure documents of public companies and mutual funds across Canada.

An initiative of the Canadian Securities Administrators (CSA) and CDS Inc., the SEDAR system was created to allow filing of certain documents such as prospectuses and continuous disclosure documents in an electronic format with the relevant Canadian Securities Regulatory jurisdiction(s). Launched in 1997, it was developed to increase the efficiency of the filing process for both the filing issuers and the Securities Commissions as well as to allow the electronic payment of CSA filing fees and to improve public access to securities filings.

All Canadian public companies and mutual funds are generally required to file their documents in the SEDAR+ system. In addition, some third parties who are involved in public company transactions such as take-over bids or proxy contests may be required to file.

Most of the documents which are legally required to be filed with the Canadian Securities Administrators and many documents which may be filed with the Canadian exchanges (market centres) are included in the SEDAR+ system. For insider reports, please refer to SEDI.

Why can't I manipulate PDF files in Acrobat Reader?

Acrobat Reader is simply a viewer. No changes can be made to a document. It is necessary to use Adobe Acrobat Exchange to manipulate documents in PDF format.

How do I begin using Newsfile Corp. as our filing agent?

What format should my documents be in before sending them to Newsfile Corp. for conversion and transmission to SEDAR?

All documents submitted to SEDAR+ must be in PDF Format. Although it is preferred that you send us PDF documents for filing, we can convert many different document formats, including paper, word-processing, spreadsheet and desktop publishing files into PDF for you.

An electronic version will pdf better and the commissions prefer not to receive scanned versions as scanning increases the size of the files greatly and can affect the clarity of the document itself.

How do I update my company profile?

Your company's profile is stored on the SEDAR+ system and can be accessed and edited by any SEDAR Filing Agent who has been granted permission by way of the Filing Agent Authorization Form (FAAF). If we are already authorized, advise us of the changes and we will submit them. If we are not authorized, please provide us with a completed Filing Agent Authorization Form (FAAF) and we will submit it to the CSA. Once the CSA approves our request, we will have the ability to update your company profile as well as submit documents for filing. The updates made to the profile appear on the SEDAR+ website immediately.

What happens if I submit a filing in error?

A filing can be made private by request to the Principal Securities Commission. If the reason is deemed valid (within the various parameters of the securities commissions) the submission will be marked as private, removing it from the website.

A filing can be amended by submitting and attaching additional documents. However, this does not replace the initial filing — it only adds the amended documents.

How quickly can I determine whether my filing was successfully transmitted?

We will contact you at the conclusion of each filing. The project and submission numbers are also available upon request. Should there be a problem, we will contact you. The documents will appear on the SEDAR+ website immediately after the submission has been completed.

Why do some documents appear multiple times on the SEDAR+ Website?

This is because each SEDAR+ filing must be complete. For example, your letter confirming your distribution to shareholders of annual financial statements will be transmitted with your filing of annual financial statements as well as with your filing of management proxy materials.

Can Newsfile Corp. add documents to a filing made by another filing agent?

Yes, but only in the following instances:

  1. Newsfile must have filing authority over the issuer profile. If we are not authorized, please provide us with a completed Filing Agent Authorization Form (FAAF) and we will submit it to the CSA. Once the CSA approves our request, we will have filing authority and can request access to the filing made by the other filing agent.

  2. The CSA Service Desk may also grant another organization or user authority over a specific filing in the circumstance where the organization that created the filing cannot be contacted via the request authority process (e.g. filing agent that created the filing is no longer in business).
